These Terms govern your relationship with Zero Core Studio LLC. They set out who you are contracting with and how billing works. The product you use is governed by its own terms, linked in section 2.

1.Who you are contracting with

Zero Core Studio LLC is a limited liability company formed in Delaware, United States, with its registered address at 112 Capitol Trail Suite A1598 Newark DE 19711. In these Terms, “Zero Core Studio”, “we” and “us” mean Zero Core Studio LLC. “You” means the person or organisation holding the account; anyone accepting these Terms for an organisation confirms they are authorised to bind it.

Zero Core Studio is the seller and merchant of record for every product below. It is the name that appears on your card statement and on your invoices, whichever product you subscribed to.

2.Which terms apply

Each product publishes its own terms, and those terms govern that product:

Where a product’s terms address a subject, they control for that product. These Terms cover only the contracting entity and the billing relationship, and do not extend or narrow any right or obligation set out in a product’s terms.

Nothing in these documents affects rights you hold under mandatory law where you live, including consumer rights.

3.Billing

Price, plan, trial, renewal, cancellation and refunds are set out in the terms of the product you bought. The following applies across all of them.

  • Payment processing. We bill through Stripe. Card details are entered on Stripe’s hosted pages and do not reach our systems. If you subscribe to more than one product, they share a single customer record and billing portal.
  • Marketplace billing. If you installed a product through a marketplace such as the Shopify App Store, that marketplace bills you under its own terms and we do not charge your payment method. Your invoices show which applies.
  • Currency. Prices are stated in US dollars unless the checkout states otherwise. Where your payment method is held in another currency, the amount charged is converted by Stripe, your card network or your bank at their rate, and may include a conversion fee that we neither set nor receive.
  • Taxes. Prices exclude VAT, sales tax and equivalent charges unless stated. Where we are required to collect tax, it is calculated at checkout and added. If you are exempt or account for tax under a reverse charge, send us a valid registration number before your invoice is issued.

4.Price changes

We may change the price of a plan. For a subscription already running, we will give at least 30 days’ notice by email, and the new price takes effect at the start of the next billing period after that notice.

If you do not accept a new price, cancel before it takes effect; continuing after that date is acceptance. Introductory, promotional and referral prices end as stated where the offer was made, after which the subscription continues at the standard price for the plan.

5.Changes to these Terms

We may update these Terms. The date at the top of this page shows when they last changed. For changes that materially affect your rights or obligations we give at least 30 days’ notice by email or in-product notice. Continuing to use the products after the effective date is acceptance.

6.Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and the state and federal courts located there have jurisdiction over disputes arising from them.

If you are a consumer, this does not remove the protection of mandatory consumer law in your country of residence, or any right that law gives you to bring proceedings there.
